Additional Terms for Use of Nulab Flowbase

This English version is provided for convenience. In the event of any inconsistency between the Japanese version and the English version, the Japanese version shall prevail.


Article 1. Application

  1. These Additional Terms apply to the use of Nulab Flowbase provided by the Company (the “Function”).
  2. The Function is provided to the plans, contractors, administrators or users designated by the Company.
  3. Matters not provided for in these Additional Terms shall be governed by the Terms of Use for the Service separately established by the Company, the DPA and other terms applicable to the Service. In the event of any conflict or inconsistency between these Additional Terms and such terms, these Additional Terms shall prevail with respect to the Function.
  4. The handling of Target Data, purposes of use, method of provision, conditions of use and other matters relating to the Function shall be governed by these Additional Terms.

Article 2. Commencement of Use and Method of Provision

  1. The method for commencing use of the Function, eligible plans, eligible contractors, users who may use the Function, conditions of use and other terms of provision shall be separately determined by the Company.
  2. The Contractor may enable or disable the Function by the method prescribed by the Company.
  3. If the Contractor or an administrator enables the Function, the Contractor shall be deemed to have reviewed these Additional Terms and agreed to the conditions relating to the Function, including the scope of Target Data, purposes of use, handling of information relating to individuals, use of third-party services and the possibility of processing outside Japan.
  4. The Company may provide the Function as a standard function under plans or contracts designated by the Company. In such case, after giving prior notice or display to the Contractor by the method prescribed by the Company, the Company may change the method of provision so that the Function is enabled by default, or so that the Contractor or an administrator may disable the Function by the method prescribed by the Company.
  5. Even in the case referred to in the preceding paragraph, the Contractor or an administrator may disable the Function by the method prescribed by the Company.

Article 3. Description of the Function

  1. The Function is a function that references, obtains or processes data on Backlog or other services designated by the Company, and performs processing determined by the Company, including schedule setting, task organization, issue creation, generation of issue content, notifications and suggestions.
  2. The details of the Function, target services, Target Data, available functions and conditions of use shall be separately determined by the Company.
  3. The Company may change the details, specifications or conditions of provision of the Function as necessary for quality enhancement, functional improvement, specification changes, changes in the specifications of external services, security measures, operational needs or business needs.

Article 4. Target Data

Data processed through the Function includes the information set forth in the following items. Such information may include User Data as defined in the Nulab Terms of Use or the DPA, Service Data as defined in the Nulab Terms of Use, and other data generated, obtained or processed in connection with the use of the Function. These are collectively referred to as “Target Data.”

(1) Information entered into the Function by the Contractor or users;

(2) User Data referenced, obtained or processed by the Function from Backlog or other services designated by the Company;

(3) Issues, comments, descriptions, notifications, workflows and other output created, updated or suggested by the Function;

(4) Information relating to usage logs, operation histories, execution results, error information, feedback and audit logs of the Function;

(5) Information relating to the use of the Function, including the purpose of use, use cases, business operations for which the Function is used, users’ departments and roles, usage status, frequency of use, usage results, satisfaction, requests and other information concerning the use of the Function; and

(6) Information generated, obtained or derived in relation to any of the preceding items.

Article 5. Purposes of Use of Target Data

The Company shall use Target Data within the scope of the purposes set forth in the following items. In using the Function, the Contractor confirms and agrees that the Company will use Target Data for these purposes.

(1) Provision, execution and response generation of the Function, issue creation, notifications and display of results;

(2) Improvement of the safety, accuracy, quality and usability of the Function;

(3) Defect analysis, performance evaluation, verification and improvement of the Function;

(4) Improvement of prompts, agent behavior design, schedulers, workflows, UI/UX and other aspects of the Function;

(5) Planning, development, improvement and evaluation of the Function, AI-related functions of the Service and functions related thereto;

(6) Understanding and analysis of qualitative information, including the purpose of use, use cases, business operations for which the Function is used, users’ departments and roles, usage status, usage results, satisfaction and requests;

(7) Use case design, functional improvement and solution development based on the business issues, needs and usage trends of the Contractor or users;

(8) Responding to inquiries from the Contractor or users, confirming feedback and analyzing usage status;

(9) Detection, prevention of and response to unauthorized use of the Function, security issues or issues affecting use;

(10) Auditing, confirmation and operational management relating to issue creation and other processing by the Function; and

(11) Purposes incidental or related to any of the preceding items.

Article 6. Handling of Information Relating to Individuals and User Data

  1. In connection with the provision of the Function, the Company may handle personal information, personal data and other information relating to individuals included in Target Data.
  2. The Company shall handle personal information, personal data and other information relating to individuals within the scope of the purposes of use set forth in the preceding article.
  3. When the Company uses Target Data for the planning, development, improvement, evaluation, use case design or solution development of the Function, AI-related functions of the Service or functions related thereto, the Company may take measures to reduce identifiability of individuals, such as aggregation, statistical processing, masking and replacement of identifiers, depending on the purposes of use, nature of the data and manner of use.
  4. With respect to User Data included in Target Data, the Company shall handle such User Data in accordance with these Additional Terms, the Nulab Terms of Use, the DPA and other terms applicable to the Service, and within the scope of the purposes of use set forth in Article 5. In handling such User Data, the Company shall implement necessary and appropriate management measures to protect the confidentiality of such User Data.

Article 7. Non-use for Model Training

The Company will not use Target Data for the purpose of training or fine-tuning third-party foundation models. However, within the scope of the purposes set forth in Article 5, the Company may use Target Data for quality enhancement, evaluation, verification, prompt improvement, workflow improvement, UI/UX improvement and other planning, development, improvement or evaluation of the Function, AI-related functions of the Service and functions related thereto.

Article 8. Third-party Services and Processing Outside Japan

  1. In providing the Function, the Company may use AI-related services, cloud services, infrastructure services and other third-party services.
  2. In such case, the Company may transmit Target Data to, or have Target Data processed by, such third-party services to the extent necessary for the provision, operation or improvement of the Function, or for achieving the purposes of use set forth in Article 5.
  3. Processing of Target Data through the Function may be conducted in Japan or, depending on the specifications of the Company or third-party services, processing status, system configuration or other circumstances, outside Japan.
  4. If the Company has personal data handled by a third party located in a foreign country, the Company shall take necessary measures in accordance with applicable laws and regulations.
  5. In using third-party services, the Company shall take measures that the Company deems necessary to prevent Target Data from being used for training or fine-tuning the foundation models of such third-party services.

Article 9. Nature of the Function

  1. The Function uses AI technology and other automated processing technologies. The Company does not warrant the accuracy, completeness, usefulness, fitness for a particular purpose or achievement of results expected by the Contractor or users with respect to the Function.
  2. The Company may change, suspend or discontinue all or part of the Function by giving prior notice or display to the Contractor or users. However, in urgent cases, where necessary for security reasons, where an external service changes its specifications or ceases provision, or where unavoidable for operational reasons, the Company may change, suspend or discontinue all or part of the Function without prior notice or display.

Article 10. Initial Provision Period, Fees and Changes to Conditions of Provision

  1. The Company may establish an initial provision period for the Function.
  2. During the initial provision period, the Function will be provided free of charge unless otherwise determined by the Company.
  3. The Company may make necessary changes to all or part of the Function, including charging fees, changing eligible plans, making the Function a standard function, setting usage limits, changing available usage amounts, changing billing units, imposing functional restrictions and changing the method of provision.
  4. The units for billing or usage restrictions may include the number of uses, number of executions, number of processing items, input data volume, output data volume, token volume, number of calls to external services or external tools, usage time, number of users, number of spaces, number of projects or other units determined by the Company.
  5. If the Company charges fees for the Function, or changes billing units, usage limits, method of provision or other conditions of provision, the Company shall give prior notice or display to the Contractor by the method prescribed by the Company of the fees, eligible plans, usage limits, effective date and other conditions of provision.
  6. Use under the changed conditions may require an application, enablement or other procedure prescribed by the Company. If the Company provides the Function as a standard function under a plan or contract designated by the Company, the Function may be provided by a method that allows the Contractor or an administrator to disable the Function by the method prescribed by the Company.

Article 11. Usage Limits and Usage Restrictions

  1. The Company may set or change usage limits, available usage amounts, usage frequency, number of concurrent executions, amount of data to be processed and other restrictions for the Function, depending on the plan, contract details, usage status, system load, conditions of use of external services, costs incurred by the Company and other circumstances.
  2. If use of the Function by the Contractor or users significantly exceeds the normally expected scope of use, interferes with stable system operation, may conflict with the conditions of use of external services, or causes excessive cost burden to the Company, the Company may restrict, suspend or change the conditions of use of the Function.

Article 12. Suspension of Use and Handling of Data Before Suspension

  1. The Contractor or an administrator may suspend use of the Function or related functions by the method prescribed by the Company.
  2. When the suspension process prescribed by the Company for the Function or related functions is completed, the Company shall stop newly obtaining or processing Target Data through such function. However, due to system reflection or processing necessary for the operation of the Function, processing of Target Data may continue for a certain period after suspension.
  3. If the Company provides a method to suspend or change settings for the use of Target Data for development or improvement purposes separately from suspension of use of the Function, the Contractor or an administrator may change such settings by the method prescribed by the Company.
  4. Notwithstanding the foregoing, Target Data obtained or generated before suspension may continue to be stored or used to the extent necessary under laws and regulations, contracts, these Additional Terms, the Company’s internal management, security measures, defect analysis, quality evaluation, analysis or verification. In addition, results of analyses, evaluations, verifications or improvements already conducted by the Company before suspension, and knowledge, statistical information, know-how and other outcomes generated based thereon, may be used for the development and improvement of the Function and related functions.

Article 13. Responsibility of the Contractor

  1. When enabling the Function, the Contractor shall review the details of the Function, these Additional Terms, the scope of Target Data and the purposes of use, and shall use the Function at its own responsibility.
  2. The Contractor shall provide necessary explanations, notices or management to users under its control in relation to the use of the Function.
  3. The Contractor and users shall not enter into, or cause to be processed by, the Function any information that may not be handled in violation of laws or contracts, any information that must not be provided to third parties, or any information that is inappropriate for processing through the Function.

Article 14. Handling of Output and Issues Created

  1. Output generated by the Function, and issues, comments and other information created, updated or suggested by the Function, may be inaccurate, incomplete or not in line with the intent of the Contractor or users due to the nature of AI technology.
  2. When using output and issues, comments and other information created, updated or suggested by the Function, the Contractor and users shall, at their own responsibility, confirm the accuracy, legality, appropriateness and fitness for the intended purpose of such information.

Article 15. Changes to Additional Terms

  1. The Company may change these Additional Terms depending on the details of the Function, status of provision, laws and regulations, technical requirements, conditions of use of external services or business needs.
  2. In such case, the Company shall notify or display the details of the change and the effective date to the Contractor by the method prescribed by the Company.
  3. If the Contractor or users continue to use the Function after the change, the Contractor shall be deemed to have agreed to the changed Additional Terms. If the Company determines that the change is material, the Company may request confirmation or consent from the Contractor by the method prescribed by the Company.
